ANNUAL REPORT 2013

Transparency and accountability as well as efficient communication with shareholders and investors led Eternit to receive for the third straight year the award for Best IR Program for Individual Investors sponsored by the IR Magazine Awards Brazil 2013 and the Brazilian Investor Relations Institute (IBRI). The awards also recognized the Company’s Investor Relations website (www.eternit.com.br/ir) as one of the five best in its category.

The Investor Relations department holds quarterly conference calls with webcasts and public meetings, publishes a quarterly earnings release and fact sheets, organizes road shows and holds one-on-one meetings with investors. Supported by the software Investor Relationship Manager (IRM), the department maintains a target of responding to any inquiry within 48 business hours.

In 2013, the department registered over 1,340 contacts with investors, shareholders and other stakeholders, and held over 110 meetings, including with individual investors, was 6 public meetings in the cities of Porto Alegre (Rio Grande do Sul), São Paulo (São Paulo), Rio de Janeiro (Rio de Janeiro), Belo Horizonte (Minas Gerais), Brasília (Federal District) and Fortaleza (Ceará). Eternit’s Investor Relations team also maintains a presence online through Twitter, YouTube, Slideshare and RSS, and provides information through Eternit’s blog (www.blogdaeternit.com.br).

Ownership structure

On December 31, 2013, Eternit’s fully subscribed and paid-in capital stock amounted to R$334,251 thousand and was represented by 89,500,000 common shares without par value and with the right to vote in shareholders’ meetings.

With highly disperse ownership and no shareholders’ agreement or controlling group, the Company’s shareholder base maintains a high concentration of individual investors, with a free-float of 85%.

In 2013, only three shareholders held interests greater than 5%, which combined amounted to 35.51% of all shares, while the Company’s Officers held 1.11% of shares.
